EstateX is a Dutch private limited company operating across multiple regulatory regimes — from EU crypto-asset classification under MiCA to cross-border offering frameworks under Regulation S. This page summarizes the framework the platform operates within and points to the underlying documents.

Entity

EstateX B.V.

EstateX B.V. is a private limited company (besloten vennootschap) incorporated under the laws of the Netherlands and registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 83876243. The platform is operated by EstateX B.V. from its registered seat in the Netherlands.

MiCA

Classified as an “Other Crypto-Asset” under MiCA.

Classification

The platform-related crypto-asset is classified as an “Other Crypto-Asset” under the EU Markets in Crypto-Assets Regulation (MiCA). This category reflects that the asset is not an asset-referenced token, an e-money token, or a financial instrument under EU law. The classification does not provide the same investor protections afforded to regulated financial instruments or securities.

Distribution status

The crypto-asset was previously distributed through a limited presale, which has concluded. The platform does not currently offer or sell the crypto-asset directly. Any acquisition by an investor occurs independently on third-party venues and is outside the platform’s control.

Cross-border offerings

Investment access under Regulation S.

Investment opportunities are offered to qualified investors located outside the United States, as offshore transactions under Regulation S of the U.S. Securities Act of 1933. EstateX does not accept subscriptions from U.S. persons (as defined under Regulation S) or onboard investors located in the United States or its territories. AML, CTF, KYC, Sanctions

Identity, source-of-funds, and sanctions screening.

Onboarding

Every investor relationship begins with full anti-money laundering (AML), counter-terrorist financing (CTF), and know-your-customer (KYC) screening — including identity verification, source-of-funds documentation, sanctions screening, and politically-exposed-person (PEP) screening. Onboarding is handled through accredited third-party providers.

Ongoing monitoring

Risk monitoring continues for the duration of every relationship. Investor profiles are reviewed periodically, with refreshed sanctions and PEP screening, transaction monitoring on relevant flows, and additional due diligence where the risk profile changes.

Data protection

GDPR-compliant handling of personal data.

EstateX processes personal data in line with the General Data Protection Regulation (GDPR) and applicable national laws. Our Data Protection Policy describes the lawful bases for processing, retention periods, international transfer safeguards, and the rights available to data subjects (access, rectification, erasure, restriction, objection, and portability). Our Privacy Policy covers visitor-facing details such as cookies, log files, and how to contact us about your data.

Tax

Investors are responsible for their own tax position.

Nothing on the platform constitutes tax, legal, or accounting advice. Tokenized real estate and crypto-asset participation may carry tax consequences that vary by jurisdiction, individual circumstance, and the structure of the opportunity. Investors are responsible for assessing their own tax position and should consult qualified advisors in their home jurisdiction before subscribing.
